I can't really offer proof, but hardware RAID cards have processors on them 
(and usually cache RAM).  They do offload the processing, and there is a 
performance difference.  You also can't boot to a software RAID, because 
software to recognize it is within the OS.  With a hardware RAID, the 
controller emulates a single, bootable drive.
